1. Acceptance of Terms

By accessing and using the Scion Media, LLC website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Scion Media, LLC provides digital marketing services to local businesses, including but not limited to:

• Search Engine Optimization (SEO), including local SEO, citation building, and schema markup
• Google Business Profile management and optimization
• Web design, development, and hosting
• Social media management
• Paid advertising (PPC)
• Content marketing
• Reputation and review management
• Branding and design
• Voice search and AI visibility optimization
• Monthly performance reporting

The specific services included in your account depend on the tier you select (Starter, Growth, or Domination) and any add-ons you have chosen. The goal of every engagement is to help your business grow its overall online visibility.

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Use our services for lawful purposes only
• Not interfere with or disrupt our services or the infrastructure behind them
• Respect intellectual property rights
• Comply with all applicable laws and regulations

4. Service Agreements

When you engage our services, you will be required to sign a separate service agreement that outlines:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Intellectual property rights
• Confidentiality provisions
• Termination conditions

Google Business Profile access

If your service includes Google Business Profile management:

• You agree to grant Scion Media Manager-level access to your Google Business Profile within 7 days of signup, via Google's official OAuth 2.0 authorization flow.
• The service clock begins on your signup date regardless of whether you have provided GBP access.
• We cannot guarantee results without timely GBP access.
• If you fail to provide access within 30 days, we may pause your account or terminate the agreement.
• Our access is limited to the business.manage scope. We do not request any other Google scopes and do not access Gmail, Drive, Contacts, Calendar, Photos, or any other Google product or user data.
• Our handling of Google user data is governed by our Privacy Policy — Google Business Profile Data and OAuth Access, which incorporates Google's Limited Use requirements by reference.
• You may revoke our access at any time via your Google Account permissions page or by emailing us.

Facebook Page and Instagram Business Account access

If your service includes management of a Facebook Page or Instagram Business Account through our Sightline platform:

• You agree to grant Scion Media the necessary Page admin and Business Manager access via Facebook Login for Business so we can perform the marketing services in your agreement.
• You represent that you have the authority to grant this access for the Pages, Instagram accounts, and Business Manager assets you connect.
• Our access is limited to the Meta permissions Sightline requests at login (the full list and the purpose of each is in our Privacy Policy — Facebook and Instagram Data section).
• You may revoke access at any time by disconnecting in Sightline → Settings → Connected Accounts, or by removing Sightline from Facebook Settings → Business Integrations.

5. Meta Platform Terms Compliance

Scion Media operates the Sightline platform as a Meta Tech Provider that delivers marketing services to multiple business clients through Meta's Facebook and Instagram APIs. The following terms apply whenever you connect a Facebook Page, Instagram Business Account, or Meta Business Manager asset to Sightline.

• Tech Provider role. Sightline acts on your behalf as a Meta Tech Provider. We do not own your Facebook Page, Instagram account, or any other Meta asset — we operate them on your behalf under the permissions you grant.
• Authorization to act on your behalf. By granting Sightline access to a Facebook Page or Instagram Business Account, you authorize Scion Media to publish content, respond to comments and messages, read insights, and otherwise perform the marketing services described in your service agreement. You confirm you have the authority to grant that access.
• Your responsibility for content. You are responsible for the legality and accuracy of any content you direct Scion Media to publish, and for ensuring it complies with the Meta Community Standards, the Facebook Pages, Groups and Events Policies, and the Instagram Community Guidelines. We may decline to publish content that, in our reasonable judgment, would violate those policies.
• No prohibited use of Meta data. Scion Media does not use data accessed via the Meta APIs to train artificial intelligence or machine learning models, conduct competitive research on you, build profiles for resale, or any purpose outside the marketing services agreement you signed with us.
• Adherence to Meta Platform Terms. Sightline's use of Meta data adheres to the Meta Platform Terms and Developer Policies, including all restrictions on data use, retention, and transfer. To the extent any provision of these Terms conflicts with the Meta Platform Terms with respect to Meta data, the Meta Platform Terms govern.
• Disconnection and deletion. You may disconnect Sightline from your Facebook Page or Instagram Business Account at any time, with no notice, via Sightline → Settings → Connected Accounts or via Facebook Settings → Business Integrations. Upon disconnection, our API access terminates immediately and the associated Meta data is purged from our active systems within 90 days, or sooner upon written request to privacy@scionmediadigital.com. Specific deletion timelines and the automated Data Deletion Callback are described in our Privacy Policy — Facebook and Instagram Data section.
• Termination of Meta access. Termination of your service agreement with Scion Media automatically revokes Sightline's access to your Meta assets, separately from any cancellation notice period that applies to billing under Section 11.

6. Payment Terms

Payment terms for our services are as follows:

• Payment is due according to the schedule outlined in your service agreement
• Billing is monthly recurring on the same day each month unless otherwise specified
• We accept payment via credit card, bank transfer, or other agreed methods — payment processing is handled by Stripe, and we never store your full card details
• Late or failed payments may result in service suspension; we will attempt to recover via our payment recovery sequence, and services may be paused if payment is not resolved within 29 days
• All prices are subject to change with 30 days' written notice
• Refunds: no refunds on completed billing periods; cancellations take effect at the end of the current billing period
• Some services may require a one-time setup fee, disclosed before signup

Our current plan tiers are Starter ($297/month), Growth ($497/month), and Domination ($897/month). Add-ons are billed separately at the rates published on our website. All plans include an implementation fee that depends on the scope of work; the final amount is quoted before the first payment is taken.

7. Intellectual Property

Intellectual property rights are governed as follows:

• You own: Your existing content and materials, your Google Business Profile, your reviews, your website content and photos, and your customer data.
• We own: Our proprietary tools, methodologies, automation, internal systems, reporting templates, and processes.
• Deliverables (such as websites built for you) become your property upon full payment.
• Content we create on your behalf (including Google Posts and review responses) is owned by you.
• We may use anonymized case studies, aggregate results, and before/after screenshots (with identifying details removed) for marketing purposes.
• Third-party content remains subject to its respective licenses.

If you cancel, you retain full ownership of your GBP, reviews, website content, and any customer data we collected on your behalf. We will provide a full data export within 30 days of cancellation upon request.

8. Confidentiality

We are committed to maintaining the confidentiality of your business information:

• We will not disclose confidential information to third parties without your written permission
• Confidential information is shared only with authorized personnel and vetted service providers
• We implement appropriate security measures to protect your data (see our Privacy Policy)
• Confidentiality obligations survive termination of services
• Exceptions apply only for legal requirements or with your explicit consent

9. Limitation of Liability

To the maximum extent permitted by law, Scion Media's total liability for any claim arising from these Terms or our services is limited to the amount you paid us in the three (3) months immediately preceding the claim.

We are not liable for:

• Indirect, incidental, or consequential damages
• Lost profits or lost business opportunities
• Third-party platform changes (Google, Facebook, Yelp, Bing, Apple Maps, etc.)
• Any actions or inactions of Google or other third-party platforms
• Force majeure events that excuse or delay performance

10. Service Performance

Regarding service performance and results:

• We strive to deliver high-quality services and meaningful results
• SEO, ranking, review count, traffic, and revenue outcomes depend on many factors beyond our control, including search algorithms, competitor activity, and market conditions
• Scion Media does not guarantee specific search rankings, review counts, traffic numbers, or revenue outcomes
• We provide regular reports and updates on progress, and commit to transparent communication about what is working and what is not
• Past results from other clients are not a guarantee of future results for your business

11. Termination

Service termination is governed by the following terms:

• You may cancel any time with 30 days' written notice to legal@scionmediadigital.com
• You will be billed for the 30-day notice period and service continues normally during that time
• After cancellation, all access to client portals and ongoing services ends
• Termination does not relieve payment obligations for work already completed
• We will provide transition assistance and a final data export as outlined in your service agreement
• Confidentiality and intellectual property obligations continue after termination

Scion Media may terminate your account immediately if you violate these Terms, your payments are more than 30 days overdue, you request actions that violate third-party platform policies or applicable laws, or you are abusive to our team.

12. Dispute Resolution

In the event of disputes:

• Both parties agree to attempt resolution through good-faith direct negotiation for at least 30 days before initiating legal action
• Mediation may be required before further legal proceedings
• These Terms are governed by the laws of the State of Florida, United States
• Venue for any legal proceedings is the courts of Broward County, Florida
• Each party bears its own legal costs unless otherwise determined by the court

13. Website Usage

When using the Scion Media website:

• You may not use automated tools, scrapers, or bots to access or harvest content from our site
• Content on our site is for informational purposes only and does not constitute legal, financial, or marketing advice
• We reserve the right to modify or discontinue any feature of the site at any time
• Links to third-party sites are not endorsements of those sites
• We are not responsible for third-party content or the availability of third-party services

14. Privacy and Data Protection

Your privacy is important to us:

• We collect and process data as outlined in our Privacy Policy
• We comply with applicable data protection laws
• You have rights regarding your personal data, including access, correction, and deletion
• We implement appropriate security measures (see our Privacy Policy, Data Security section)
• Data retention follows the schedule outlined in our Privacy Policy
• If your service includes Google Business Profile management, our handling of Google user data is governed by the Google Business Profile Data and OAuth Access section of our Privacy Policy

15. Changes to Terms

We may update these Terms from time to time:

• Changes will be posted on this page with an updated "Last Updated" date
• Material changes will be communicated via email to active clients
• Continued use of our services after changes constitutes acceptance of the updated Terms
• You may terminate your services if you disagree with changes, subject to Section 11
• Previous versions of these Terms apply to work completed under those prior versions
