1. Acceptance of Terms
By engaging Scion Media for services, you ("Client", "you") agree to these Terms of Service ("Terms"). These Terms form a binding agreement between you and Scion Media LLC ("Scion Media", "we", "us") operating as Scion Media at scionmediadigital.com.

3. Services We Provide
Scion Media provides the following services to local businesses:
- Google Business Profile (GBP) management and optimization
- Local SEO including citation building, schema markup, and on-page optimization
- Website design, development, and hosting
- Review management and review generation
- Directory listing management across 40+ directories
- Monthly performance reporting
- Voice search optimization
- AI visibility optimization
- Social media management (add-on)
The specific services included in your account depend on the tier you select (Starter, Growth, or Domination) and any add-ons you have chosen.
4. Service Tiers and Pricing
Our service tiers are:
- Starter: $147/month
- Growth: $297/month
- Domination: $349/month
Add-ons are billed separately at the rates published on our website.
5. Payment Terms
- Billing cycle: Monthly recurring, charged on the same day each month
- Auto-renewal: Subscriptions automatically renew unless cancelled
- Payment processing: Handled by Stripe — we never store your full card details
- Failed payments: If a payment fails, we will attempt to recover via our payment recovery sequence. Services may be paused if payment is not resolved within 29 days
- Refunds: No refunds on completed billing periods. Cancellations take effect at the end of the current billing period
- Setup fees: Some services may require a one-time setup fee, disclosed before signup
6. Cancellation
- You may cancel anytime with 30 days written notice to legal@scionmediadigital.com
- You will be billed for the 30-day notice period
- Service continues normally during the notice period
- After cancellation, all access to client portals and ongoing services ends
7. Google Business Profile Access
If your service includes GBP management:
- You agree to grant Scion Media Manager-level access to your Google Business Profile within 7 days of signup, either via Google OAuth or by adding our service account email
- The service clock begins on your signup date regardless of whether you have provided GBP access
- We cannot guarantee results without timely GBP access
- If you fail to provide access within 30 days, we may pause your account or terminate the agreement
8. Data Ownership
- You own: Your Google Business Profile, your reviews, your website content, your photos, your customer data
- We own: Our internal systems, processes, methodologies, automation, code, and tools
If you cancel, you retain full ownership of your GBP, reviews, website content, and any customer data we collected on your behalf. We will provide a full data export within 30 days of cancellation upon request.
9. Results Disclaimer
- Scion Media does not guarantee specific search rankings, review counts, traffic numbers, or revenue outcomes
- SEO and Google visibility are influenced by factors outside our control (Google algorithm changes, competitor activity, etc.)
- We commit to using best practices and providing transparent reporting
- Past results from other clients are not a guarantee of future results for your business
10. Communication and Consent
By engaging Scion Media, you consent to receive:
- Service-related emails (reports, account updates, billing notices)
- SMS notifications related to your account (where you have provided consent and opt-in)
- Marketing emails about new features and services (you can opt out anytime)
TCPA compliance: All SMS communication complies with the Telephone Consumer Protection Act. You can opt out of SMS by replying STOP at any time. Marketing SMS is only sent during local hours (8 AM - 9 PM in your timezone).
11. Website Hosting After Cancellation
If your service includes website hosting:
- Your website remains hosted for 30 days after cancellation at no charge
- After 30 days, the website goes offline unless you arrange transfer
- You may request a full export of your website code and content at any time
- We will provide DNS transfer instructions to help you migrate to a new host
12. Limitation of Liability
To the maximum extent permitted by law, Scion Media's total liability for any claim arising from these Terms or our services is limited to the amount you paid us in the 3 months immediately preceding the claim.
We are not liable for:
- Indirect, incidental, or consequential damages
- Lost profits or lost business opportunities
- Third-party platform changes (Google, Facebook, Yelp, etc.)
- Any actions or inactions of Google or other third-party platforms
13. Intellectual Property
- Websites we build for you become your property after final payment
- Content we create on your behalf (Google Posts, review responses, etc.) is owned by you
- Our internal tools, systems, methodologies, and processes remain our property
- You may not copy or reproduce our reporting templates, dashboards, or proprietary tools
14. Third-Party Platforms
Scion Media is not responsible for:
- Changes to Google's algorithms, policies, or APIs
- Suspension or removal of your Google Business Profile by Google
- Changes to other platforms (Yelp, Facebook, Bing, Apple Maps, etc.)
- Outages or service disruptions of third-party platforms
We will work in good faith to adapt to any platform changes that affect our services.
15. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. Scion Media will never disclose your business performance metrics, results, or strategic information to third parties without your written permission.
16. Indemnification
You agree to indemnify and hold harmless Scion Media against any claims arising from:
- Your violation of these Terms
- Your violation of any third-party rights
- Content you provide that is inaccurate, illegal, or infringing
17. Termination by Scion Media
We may terminate your account immediately if:
- You violate these Terms
- Your payments are more than 30 days overdue
- You request actions that violate Google's policies or applicable laws
- You are abusive to our team
In case of termination, we will provide a final data export and 30 days of website hosting (if applicable).
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida. Any disputes will be resolved in the courts of Broward County, Florida.
Before initiating legal action, both parties agree to attempt good-faith resolution via direct communication for at least 30 days.
19. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email to active clients and posted to this page. Your continued use of our services after notification of changes constitutes acceptance of the new Terms.
